1. Acceptance of Terms

Welcome to Viontra. These Terms of Service ("Terms") govern your access to and use of the Viontra platform, website, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after the posting of modified Terms constitutes your acceptance of the changes.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for their intended purposes, subject to these Terms.

6. User Content

You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Services.

You represent and warrant that you own or have the necessary rights to the User Content and that the User Content does not violate the rights of any third party or any applicable law or regulation.

7. Subscription and Billing

Some of our Services require payment of fees. You agree to pay all fees in accordance with the pricing and payment terms presented to you. All payments are non-refundable unless otherwise specified.

Subscriptions automatically renew until canceled. You may cancel your subscription at any time, and your access will continue until the end of your billing period.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT SHALL VIONTRA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Viontra and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or violation of any rights of another.

11. Termination

We may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Viontra regarding the Services and supersede all prior agreements and understandings.
